VETRIC CUSTOMER DEVICE & SERVICES AGREEMENT

This Agreement is entered into between Vetric (Pty) Ltd ("Vetric", "we", "us", "our") and the Customer ("you", "your") on the date of acceptance and signature by the Customer.

1. DEFINITIONS

Agreement: This Customer Device & Services Agreement, including any schedules or addenda.
Device: The mobile phone or electronic device supplied by Vetric.
Services: Any financing, device access, data, airtime, insurance, locking, or related services provided by Vetric.
Term: The duration selected by the Customer as stated on the application and acceptance page.
Deposit: The upfront payment required prior to device dispatch.

2. APPLICATION & APPROVAL

2.1 Submission of an application does not guarantee approval.

2.2 Approval is subject to Vetric’s internal vetting, verification of documents, and acceptance of this Agreement.

2.3 Vetric reserves the right to decline any application without providing reasons.

3. DEVICE OWNERSHIP & USE

3.1 Ownership of the Device remains with Vetric until all amounts due under this Agreement are paid in full.

3.2 The Device supplied is brand new and unused. The Customer acknowledges and agrees that the Device packaging may be opened solely for the purpose of installing Vetric-required software, applications, security, or locking systems, after which the Device is resealed prior to delivery. This process does not render the Device used, refurbished, or second-hand.

3.3 The Customer shall:

Use the Device lawfully and responsibly;
Not sell, transfer, lease, pawn, or dispose of the Device;
Not tamper with, remove, or bypass any Vetric-installed software or security controls;
Take reasonable care of the Device at all times.

3.4 Loss, theft, or damage of the Device remains the Customer’s responsibility for the full duration of the Agreement, regardless of cause, subject to any applicable insurance.

4. PAYMENTS

4.1 The Customer agrees to pay:

The required Deposit;
Monthly instalments as agreed;
Any applicable fees, penalties, interest, or recovery costs.

4.2 Payments must be made on or before the due date each month.

4.3 Late or missed payments may result in penalties, interest, suspension of services, device locking, blacklisting of the Device IMEI, or termination of this Agreement.

4.4 The Customer acknowledges that once a Device has been prepared, configured, or software-installed, the Deposit may be non-refundable, to the extent permitted by the Consumer Protection Act (CPA).

5. DEVICE LOCKING & ACCESS CONTROL

5.1 Vetric may install software that allows the Device to be locked, restricted, or disabled in the event of non-payment, breach, termination, or suspected fraud.

5.2 The Customer expressly consents to such locking mechanisms and acknowledges that temporary or permanent restriction of access does not constitute unlawful deprivation of property, as ownership remains with Vetric until full payment.

5.3 Vetric reserves the right to block or blacklist the Device IMEI where legally permitted.

5.4 Vetric shall not be liable for any loss, inconvenience, or damages arising from lawful locking or restriction of the Device.

6. DELIVERY & RISK

6.1 Delivery timelines are estimates and not guaranteed.

6.2 Risk in the Device passes to the Customer upon delivery.

6.3 The Customer must inspect the Device upon delivery and report any issues within 48 hours.

7. CANCELLATION, RETURNS & TERMINATION

7.1 The Customer acknowledges that Devices are prepared and configured specifically for the Customer.

7.2 Cooling-off or return rights under the CPA may be limited once the Device has been customised, software-installed, delivered, activated, damaged, or used, to the extent permitted by law.

7.3 Where cancellation is permitted:

Any outstanding amounts must be settled;
The Device must be returned in acceptable condition;
Deposits and preparation fees may be non-refundable.

7.4 Vetric may terminate this Agreement immediately if the Customer:

Fails to make payments;
Provides false or misleading information;
Tampers with Vetric software or security;
Breaches any material term of this Agreement.

7.5 Upon termination, Vetric may recover the Device and all outstanding amounts.

8. DATA, COMMUNICATION & CONSENT

8.1 The Customer consents to Vetric collecting, processing, and storing personal information in accordance with POPIA for lawful business, credit assessment, risk management, and enforcement purposes.

8.2 Vetric may contact the Customer via phone, SMS, email, or messaging platforms regarding the Agreement, payments, collections, or legal enforcement.

8.3 The Customer consents to the sharing of relevant information with third parties including insurers, suppliers, credit bureaus, delivery partners, and recovery agents, where legally permissible.

9. LIMITATION OF LIABILITY

9.1 Vetric shall not be liable for indirect, consequential, or incidental losses.

9.2 Vetric’s liability is limited to the value of the Device or services supplied, to the extent permitted by law.

10. GOVERNING LAW

This Agreement is governed by the laws of the Republic of South Africa.

11. GENERAL

11.1 This Agreement constitutes the entire agreement between the parties.

11.2 No variation shall be valid unless agreed to in writing by Vetric.

11.3 If any provision is found invalid, the remaining provisions shall remain in force.

12. CUSTOMER DECLARATION

By signing or electronically accepting this Agreement, the Customer confirms that:

All information provided is true and correct;
They have read and understood this Agreement;
They agree to be bound by its terms and conditions.
